Evelina London cares for local children in Lambeth and Southwark and provides specialist services across south east England including cardiac, renal and critical care services. We lead a number of specialist service networks aiming to ensure children are treated locally where possible, but have access to specialist expertise when they need it. Our community services include health visiting, school nursing and support for families of children with long-term conditions. Our adult community services teams deliver care at the heart of the local communities we serve, working in partnership with GPs, local authorities and other healthcare and voluntary sector organisations. Working with our partners in Lambeth and Southwark, we are focusing on new ways of working to improve care for local patients. In February 2021 the Royal Brompton and Harefield joined Guy’s and St Thomas’ NHS Foundation Trust, bringing together world-leading expertise in the care and research of heart and lung disease. Job overview The Senior Legal Business Partner is a key senior role within the Commercial Legal Services Team and for the broader Trust. Working closely with the Commercial Legal Services Team and other senior stakeholders, the post holder will be responsible for leading complex and analytical legal negotiation and advice and supporting the establishment and further development of the commercial and legal risk infrastructure. The role requires extensive legal professional training and significant practical experience in a commercial or other business setting to ensure a suitable level of competency to work effectively. Main duties of the job Specific duties within the role are as follows: • Complex Legal Negotiation and Advice. Provide highly specialised advice, drafting and negotiation in the context of concluding complex and analytical commercial legal and regulatory matters from funding or delivery propositions through to dispute management. Work likely to involve: master service agreements, procurement contracts, innovation contracts, R&D, corporate/JV/spin off documents, alliancing agreements, partnerships, NHS to NHS, ICS arrangements, tender, teaming and bidding documents, hosted agreements, tech/IT/software contracts, privacy and data matters, international undertakings, commercial dispute and settlement • Leadership of Commercial Legal and Risk Infrastructure including Policy. Drive and shape relevant internal legal and risk infrastructure projects and policy including: commercial legal risk appetite, commercial contracting policy, procurement contract standardisation, contract management framework, knowledge transfer, training and enablement (skills and capability), protocols and templates, commercial legal and regulatory upskilling/training and similar Optimising commercial legal work within the Trust requires an understanding of the strategy, policies and business practices of the Trust and an ability to reflect these in the legal arrangements and contracts the Trust enters into. The Commercial Legal Services Team within the Trust acts as a centre of excellence for the Trust and key stakeholders in respect of commercial legal work. As a cross cutting internal legal team supporting delivery of the Trust’s commercial, innovation and operational strategy by maximising value and managing risk across the Trust wide commercial legal and contracts portfolio, Commercial Legal Services is run on a business partnering and account management logic and approach. The team has a wide portfolio of internal clients including wider members of commercial services, all clinical directorates and groups and non-clinical teams and other corporate services. Such work is underpinned by the core values of the Trust alongside the Trust best interests, continuous improvement and professional development. Detailed job description and main responsibilities Management and Delivery of Commercial Legal Excellence • Be a proactive and commercially minded legal business partner in an organisation of annualised approx. £2 billion income, delivering an excellent commercial legal service that is an exemplar of approach and practice and complies with statutory requirements. • Support the implementation of the commercial legal strategy with first class, highly specialised legal structuring, negotiation and advice across the broad spectrum of commercial legal work at the Trust • Have the ability to manage complicated and sensitive tasks within a fast changing agile and decentralised environment • Provide professional and client focussed legal support and advice on business cases and their related multi-disciplinary project groups ensuring that the contractual and/or legal appraisal of each of the proposed options applies advanced, technical analysis. • Give legal and other professional advice on the proposed formation and adoption of new policies and other proposals as these may affect the standing and operation of the Commercial Legal Team and Trust activities • Identify learning opportunities in respect of commercial negotiations both with public and private organisations. • Provide professional leadership and management in design and implementation of Trust wide commercial procedures such as commercial matter management to ensure that they are robust, auditable and reflect best practice. • Ensure appropriate use of external legal advice and monitoring/controlling expenditure against budget. • Collate, analyse and present qualitative and quantitative information about commercial legal matter and make robust recommendations to support decision making and service development, particularly in relation to commercial legal functional improvement. • Provide training to staff within the Trust on aspects of commercial law relevant to them, including the senior leadership team as appropriate. Leadership Promote and implement best practice in the management of commercial deals and transactions. Assist in the management of staff within the Commercial Legal Services Team, including staff development, appraisal, performance management; identification of training requirements; sickness, absence, grievance and disciplinary procedures. Identify, develop, recommend and implement improvements in team performance, including regular review of systems, processes, policies and individual performance. Drive delivery of a range of initiatives and projects arising directly and indirectly from a commercial field of expertise, Trust-wide and in co-ordination and co-operation with commercial, innovation and finance colleagues Support the Head of Commercial Legal Services in their further development of the commercial legal function and the long-term vision, strategy and implementation plans Contribute meaningfully to relevant infrastructure for the legal team including legal risk appetite framework, policy development, legal systems oversight, matters under management, contract due diligence and management, signatory processes and similar, spend management, training and education and so on Ability to take on people/HR and budget/financial management responsibilities as required Communication • Provide, receive, analyse and communicate highly complex, technical, sensitive and contentious information and make judgements based on the information, to achieve resolution of commercial deals and transactions and other legal issues. • Deploy sophisticated communication and interpersonal skills to achieve an appropriate legal output for the Trust in the context of tough negotiations on high value and high profile deals and transaction. • Lead and provide full line management and leadership to junior staff, assigning responsibility for individual projects, providing day to day technical support and balancing the workloads of individuals. • Lead training and model practices to both internal staff members and external stakeholders and partners. • Work in a matrix management style and foster close working relations with other stakeholders. • Operate with a commercial client centric mind and be open to innovation, agility, growth and change • Flexibility and willingness to take on a variety of tasks aimed at moving the Trust and Commercial Legal Services forward • Strong senior project management skills – working with colleagues to ensure high quality work outputs • Build positive relationships with internal colleagues, within commercial, clinical and support directorates. • Build positive relationships with external contractors, partners and statutory bodies. • Have highly developed interpersonal skills and an ability to communicate effectively in a conflictual situation • Provide and receive complex and/or sensitive information orally, electronically, in writing in a range of formats from service specifications to business cases and presentations and support to Head of Commercial Legal Services to manage effective communication at all necessary levels of seniority. • Build and develop key relationships, consult and maintain networks internally and externally, to take forward the Trust’s management of commercial deals and transactions. • Build positive relationships with external advisers, partners and statutory bodies. • Work as an ambassador for the Trust with other organisations and the public in promoting and building its reputation or minimising its reputational damage. • Have highly developed interpersonal skills and an ability to communicate effectively in a hostile or emotive atmosphere and take appropriate action. Policy and Service Development. • Identify and interpret changes in legislation or case law, considering and proposing changes to Trust policies and guidelines as required. • Propose changes to Commercial Legal Services, particularly organisational wide policies around conflicts, standardisation of procurement contracting and commercial legal risk management. • Maintain a comprehensive knowledge of emerging policies from Government departments alongside innovative practices in the commercial world which may have an impact on Commercial Legal Services. Financial management • Support the management of contracts and awarding of new contracts. • Manage a delegated budget for own area of work to ensure best value for money, including signing off invoices, monitoring expenditure and providing budgetary reports. • Actively monitor expenditure against budget and address problems at an early stage. • Manage complex recharging arrangements. Information management • Manage, monitor and evaluate information management systems, ensuring they are fit for purpose to a range of audiences including board reports, complex matters under management, resource and headcount allocations, spending analysis, other functional and legal tools and processes, online and tech enabled systems for training and policy for senior and diverse stakeholders. • Maintain data collection systems that will provide accurate and timely data, including quantitative and qualitative data • Lead policies and protocols to support the project that are consistent with Trust standards • Maintain databases as required • Interpret policies and protocols to support the project that are consistent with Trust standards.
