Job overview Are you an experienced commercial lawyer ready for a new in-house challenge? We are looking for an experienced c ommercial lawyer to join our in-house team to lead on all commercial and procurement related matters. This is an extremely varied role in which you’ll be working with a number of core business areas within Synnovis. It will also involve providing some additional support on other legal matters including property, employment, company secretarial and data protection as well as giving day-to-day ad hoc advice. You will be part of the Legal, Risk & Compliance team reporting into the Director of Legal, Risk & Compliance, with excellent exposure to the Synnovis and UK & I leadership teams. Prior in-house and/or procurement experience would be preferable but is not essential. The role will be hybrid working based in our London office. This is a temporary role (9 months) to cover the maternity leave of our Deputy Director of Legal. Main duties of the job Primary responsibility for commercial contracts work to include: · Drafting and negotiating a wide range of commercial contracts including reagent rental agreements, asset purchase agreements, equipment leases, new customer and supplier contracts, clinical trials and research agreements (including letters of intent, collaboration agreements, funding agreements and MTAs), pathology testing, logistics, software development and maintenance agreements, settlement agreements and NDAs · Provision of day-to-day legal advice across the business on a broad range of matters including contract, property, IP, employment, data protection, regulatory compliance and procurement law · Provision of commercial legal support to new business opportunities including participation in tender dialogue and negotiations, contract drafting in collaboration with external legal advisors and legal oversight of operational and clinical proposals and responses · Facilitate and influence negotiations to achieve the best legal and commercial outcomes to maximise value and minimise risk · Deputising as Company Secretary for the Group including attending and minuting Board meetings and Board committees, drafting resolutions and Companies House filings · Managing the team paralegal/trainee solicitor Working for our organisation Your development and learning You will have a suite of learning opportunities available through The Synnovis Way Development programme which is used across Synnovis to enable you to reach your potential, learn new skills and achieve your goals. Detailed job description and main responsibilities At Synnovis, we are currently shaping the future of pathology services by creating a world-leading Hub and Spoke pathology network with our NHS partners. A large part of this modernisation will involve moving 70% of our services to a purpose built, state of the art Hub laboratory in the heart of London. For now, the job you are applying for will be based at one of our hospital sites however, from 1 April 2024 our people and services will start to move to our Hub laboratory in Blackfriars, Southwark, SE1, with some work remaining in refurbished essential services laboratories across our hospital network, focusing on the rapid turnover of urgent tests. The partnership provides diagnostics, testing and digital pathology for hospital trusts, GP services and other healthcare providers. Person specification Qualifications Essential criteria Solicitor or barrister qualified to practise in England & Wales Degree educated to at least 2:1 standard Experience Essential criteria 5+ years PQE Desirable criteria Prior in-house experience Staff management experience Previous experience of working in healthcare or pathology Skills & Knowledge Essential criteria A good knowledge of general commercial contracts law with the ability to quickly identify key issues Understand when to seek additional specialist advice Sound commercial judgment Experience in managing commercial risks Experience of Due Diligence methodology Ability to grasp new complex concepts quickly and accurately Ability to work under pressure and as part of a team Ability to balance priorities and co-ordinate work effectively in order to meet deadlines and manage high workloads Sound written and oral communication skills to give authoritative advice and influence colleagues and external stakeholders Good people management skills; personable and able to build relationships with internal and external stakeholders Desirable criteria Project management skills Good administrative skills Applications are welcomed from applicants with a disability.
