About the Role
The Private Capital M&A team sits within EMEA M&A and is part of the global Private Capital Advisory & Solutions team. The team assists clients in raising non-control private capital for a variety of purposes including M&A, growth/capex, shareholder monetisations, balance sheet equitizations, and refinancings. Working closely with country, industry, and other product teams within the bank, the client base includes large EMEA corporates, sponsor-owned companies, and entrepreneur-led/family businesses entering private transactions as alternatives to the public market.

Capital is raised through bespoke M&A-style processes from diverse sources such as private equity funds, sovereign wealth funds, alternative & credit investors, pension funds & insurance companies, family offices, and other institutional investors. Private investors increasingly seek to deploy solutions-focused capital and form long-term partnerships with corporates and entrepreneurs.

You will gain exposure to all sectors, regions, and transaction types across the capital structure, from common equity to more structured deals depending on client requirements. The team has raised over $70bn of capital in the last five years across more than 30 transactions in EMEA, including the largest private capital transaction in the region in four of the last five years, as well as landmark transactions and partnerships.

Key responsibilities include working with clients alongside industry and country teams to analyse optimal transaction structures and financial models; identifying suitable investor universes and engaging with investors during outreach and ongoing dialogue; preparing transaction marketing and process materials including term sheets; coordinating processes from launch to signing in close cooperation with internal teams; analysing investor proposals and overseeing financial modelling to assess returns; supporting final negotiations; and preparing materials for presentation to J.P. Morgan clients.

Given the team's high deal flow and flat hierarchy, you will have opportunities to perform a wide variety of tasks and to step up across multiple transactions.

Requirements

Experience
Several years of full-time investment banking experience.
Prior experience in M&A or capital raising (equity, debt, or leveraged finance) is preferred.
Experience communicating with buyside investors is advantageous.

About you
Keen interest in private capital markets, minority M&A, and structured transactions.
Strong understanding of minority transactions including shareholder and governance agreements.
Desire to work across sectors and gain exposure to diverse transaction types.
Strong technical ability and corporate finance proficiency, with flexibility to work across the capital spectrum and understand capital structures and investor returns modelling.
Ability to engage effectively in client and investor communications.
Proactive ownership of transactions with the ability to manage multiple deals and competing demands.
Initiative and ability to support several transactions in parallel.
