We are seeking an experienced, hands-on Legal Counsel to support our investment and operations teams across a growing multi-jurisdictional platform spanning the US, Switzerland, and Luxembourg. Reporting directly to the CFO and working closely with the investment team, you will handle a steady flow of US private equity transactions including growth equity and pre-IPO primary and secondary deals, as well as SPV investments, gaining exposure to the world’s private tech companies.

The primary focus of this role is deal work: reviewing and negotiating transaction documents, identifying issues proactively, and providing clear, practical legal guidance that the investment team can act on immediately. You will also support the group’s corporate structure across multiple jurisdictions, managing shareholder matters, financing rounds, stock option plans, and general corporate housekeeping. Coordination with local counsel and investor-related matters will also be part of your responsibilities.

This is an individual contributor role with real ownership and direct access to the founders. We continuously upgrade our workflows, including AI-assisted tools for document review and diligence, and seek someone curious and proactive about leveraging modern legal technology.

Your Responsibilities
- Review and negotiate transaction documents for US growth equity, pre-IPO deals, and private fund investments, including subscription agreements, side letters, LPAs, term sheets, and co-investment documentation
- Provide direct, actionable legal guidance during deal execution and diligence, flagging risks early and proposing practical solutions
- Own corporate governance and entity management across the firm’s international group structure, including shareholder matters, financing rounds, and stock option plans
- Collaborate with finance and operations on cross-functional legal and investor-related matters
- Coordinate and manage external counsel when specialist advice is required
- Build and maintain playbooks, templates, and review workflows to improve deal turnaround efficiency
- Track legal and regulatory developments and advise on implications for the firm’s activities

Requirements

Experience
- Significant, hands-on transactional experience in US growth equity and pre-IPO deals as well as private fund investments
- Qualified lawyer with substantial post-qualification experience; US bar admission preferred (state flexible)
- Strong working knowledge of US securities law and private markets regulation; familiarity with SEC-registered investment adviser obligations is a plus
- Proven ability to work independently, exercise judgment, and advise senior stakeholders directly without a large legal team
- Comfortable working directly on live deals at pace — reviewing documents quickly, negotiating in real time, and providing immediate actionable guidance
- Commercially pragmatic with the ability to distill complex legal risks into clear, practical advice
- Digitally savvy with a genuine interest in AI and modern tooling to enhance legal workflows
- Excellent written and verbal communication skills in English
- Right to work in the chosen base location (US, Switzerland, Germany, Luxembourg, or UK) at time of application; visa sponsorship not available

Qualifications
- Qualified lawyer admitted to practice law with relevant post-qualification experience
- US bar admission preferred but not mandatory
- Additional language skills such as German are beneficial but not required

Nice to Have
- Familiarity with investment products and financial regulations in the EU and Switzerland
- Experience advising on or working within multi-jurisdictional corporate structures, including cross-border employment matters, Employer of Record arrangements, and data protection regulations
- German language skills
