About the Role
The Private Capital Advisory (PCA) team within EMEA M&A is part of the global Private Capital Advisory & Solutions group. The team assists clients in raising non-control private capital for a variety of purposes including M&A, growth/capex, shareholder monetisations, balance sheet equitisations, and refinancings. Working closely with country, industry, and other product teams within the bank, the PCA team serves a diverse client base including large EMEA corporates, sponsor-owned companies, and entrepreneur-led or family businesses entering private transactions as alternatives to public markets.
Capital is raised through bespoke M&A-style processes from a broad range of investors such as private equity funds, sovereign wealth funds, alternative and credit investors, pension funds, insurance companies, family offices, and other institutional investors. Private investors increasingly seek solutions-focused capital and long-term partnerships with corporates and entrepreneurs.
As an Associate, you will gain exposure to all sectors, regions, and transaction types across the capital structure, from common equity to more structured deals tailored to client needs. The team has raised over $70 billion of capital across more than 30 transactions in EMEA over the last five years, including the largest private capital transaction in EMEA in four of those years.
Key responsibilities include working with clients alongside industry and country teams to analyse optimal transaction structures and financial models, identifying and engaging suitable investors, supporting preparation of marketing and process materials, coordinating transaction processes from launch to signing, analysing investor proposals and financial returns, and assisting in final negotiations. Given the team's high deal flow and flat hierarchy, you will have opportunities to take ownership and contribute across multiple transactions in parallel.
Experience
Several years of full-time investment banking experience is required. Prior experience in M&A or capital raising, including equity, debt, or leveraged finance, is preferred. Experience communicating with buyside investors is advantageous.
About you
You should have a keen interest in private capital markets, minority M&A, and structured transactions, with a strong desire to work across sectors and transaction types. A solid technical ability and corporate finance proficiency are essential, including understanding capital structures and investor returns modelling. You must be able to engage effectively in client and investor communications, take ownership across transactions, and manage multiple competing demands with initiative and time management skills.
