About the Role
The Senior Company Secretariat Assistant will support the delivery of a high-quality company secretarial and corporate governance service within Shell. This role covers listed company governance and compliance processes, board and shareholder activities, corporate reporting support, maintenance of key governance records and systems, and entity management as needed.
Key responsibilities include assisting with the drafting of the Governance section of the Annual Report, supporting the delivery of the Shell Annual General Meeting including drafting documentation, and preparing regulatory announcements for the UK, Amsterdam, and US markets. You will maintain corporate and board registers such as appointment schedules, conflicts of interest, and share dealing, ensuring the GEMS database is up to date for Shell plc.
Additional duties involve liaising with Non-executive Directors, supporting KYC and due diligence requests, drafting and distributing Board and Committee papers, preparing Powers of Attorney, and assisting with the execution process. You will also support the buyback process, including maintaining the buyback tracker and drafting/reviewing Companies House forms.
In shareholder matters, you will deliver a high-quality service, liaise with the company’s registrar Equiniti, respond to shareholder queries, assist with the dividend process, and support strategic initiatives.
Regarding Insider Management, you will support PDMR clearance requests and related matters, and cover BAU tasks in the absence of the InsiderTrack coordinator.
Other responsibilities include staying updated on statutory and regulatory requirements, supporting ad hoc governance projects, updating website governance, drafting and maintaining process notes and internal guidance, supporting audit requests, managing UK entity management tasks, and handling shared mailboxes and queries.

Experience
Qualified or part-qualified with the UK Chartered Governance Institute.
Experience or developing experience in company secretarial, governance, or a similar environment.
Knowledge of statutory compliance requirements and Companies House processes.
Proficient IT skills, including experience with entity management portals, board paper portals, and advanced Microsoft Office skills.
