Description
Guy’s and St Thomas’ is among the UK’s busiest and most successful NHS foundation trusts. We provide a full range of hospital and community services for people in south London and as well as specialist care for patients from further afield including cancer, renal, orthopaedic, respiratory and cardiovascular services.
Guy’s is home to the largest dental school in Europe and a £160 million Cancer Centre opened in 2016. St Thomas’ has one of the largest critical care units in the UK and one of the busiest emergency departments in London. It is also home to Evelina London Children’s Hospital.
Evelina London cares for local children in Lambeth and Southwark and provides specialist services across south east England including cardiac, renal and critical care services. We lead a number of specialist service networks aiming to ensure children are treated locally where possible, but have access to specialist expertise when they need it. Our community services include health visiting, school nursing and support for families of children with long-term conditions.
Our adult community services teams deliver care at the heart of the local communities we serve, working in partnership with GPs, local authorities and other healthcare and voluntary sector organisations. Working with our partners in Lambeth and Southwark, we are focusing on new ways of working to improve care for local patients.
In February 2021 the Royal Brompton and Harefield joined Guy’s and St Thomas’ NHS Foundation Trust, bringing together world-leading expertise in the care and research of heart and lung disease. Our merger provides a once in a generation opportunity to build a lasting, world-renowned heart and lung centre, providing the highest quality care for patients and conducting world-leading research.

Guy’s and St Thomas’ NHS Foundation Trust (the Trust) is recruiting for a Legal Business Partner (Commercial) to join the Commercial Legal Services Team.
Main duties of the job
The Legal Business Partner (Commercial) is a key senior role within the Commercial Legal Services Team and for the broader Trust. Working closely with the Head of Commercial Legal Services who is responsible for ensuring commercial legal work is appropriately managed and other senior stakeholders, the post holder will be responsible for leading complex and analytical legal negotiation and advice and supporting the establishment and further development of the commercial and legal risk infrastructure. The role requires extensive legal professional training and significant practical experience in a commercial or other business setting to ensure a suitable level of competency to work effectively.

The Commercial Legal Services Team within the Trust acts as a centre of excellence for the Trust and key stakeholders in respect of commercial legal work. As a cross cutting internal legal team supporting delivery of the Trust’s commercial, innovation and operational strategy by maximising value and managing risk across the Trust wide commercial legal and contracts portfolio, Commercial Legal Services is run on a business partnering and account management logic and approach.
Detailed job description and main responsibilities
Specific requirements within the role are as follows:
Complex Legal Negotiation and Advice. Provide highly specialised advice, drafting and negotiation in the context of concluding complex and analytical commercial legal and regulatory matters from funding or delivery propositions through to dispute management. Work likely to involve: master service agreements, innovation contracts, R&D, corporate/JV/spin off documents, alliancing agreements, partnerships, NHS to NHS, ICS arrangements, tender, teaming and bidding documents, procurement contracts, hosted agreements, tech/IT/software contracts, privacy and data matters, international undertakings, commercial dispute and settlement
Leadership of Commercial Legal and Risk Infrastructure including Policy. Drive and shape relevant internal legal and risk infrastructure projects and policy including: commercial legal risk appetite, commercial contracting policy, procurement contract standardisation, knowledge transfer, training and enablement (skills and capability), protocols and templates, commercial legal and regulatory upskilling/training and similar

Qualifications/ Education
Essential criteria
A qualified solicitor of the Senior Courts of England & Wales, registered with the Solicitor’s Regulation Authority (SRA)
Current SRA Practising Certificate (following completion of a training contract)
Extensive relevant PQE in commercial contracting
Strong and demonstrable knowledge and experience of complex commercial contracts from a senior legal perspective
Registration with the SRA
Desirable criteria
Knowledge of the healthcare, pharma, technology and life sciences sector
Master’s degree in Commercial Law or similar legal field
Previous Experience
Essential criteria
Significant post-qualification experience of commercial contracting including master service agreements, corporate/JV arrangements, innovation contracts, funding and procurement contracts, tech/IT/IP matters, privacy, data protection and international work
Significant experience of working with and developing solutions for complex problems involving internal and external senior stakeholders.
Extensive experience of complex analytical and technical structuring, negotiating, drafting, and concluding commercial legal transactions from funding opportunity through to delivery and any dispute management
Experience in people/HR and budget/financial management, including purchasing authority
Analytical, judgement and communication skills
Essential criteria
Highly developed analytical and problem solving skills; capable of interpreting and evaluating complex, multi-faceted information; ability to summarise complex information; ability to make judgements and advise on the best course of action.
Highly developed and exceptionally strong communication and interpersonal skills, including the ability to work well with a wide variety of diverse stakeholders on contentious matters and communicate highly complex difficult and sensitive information in a hostile, antagonistic or highly emotive environment where there are significant barriers to acceptance to overcome
Ability to present complex information to a wide range of audiences, with differing levels of understanding, in a suitable format and with appropriate explanation
Business partnering orientation – ability to anticipate needs and respond well and sensitively to internal clients
Skills/Knowledge/ Ability
Essential criteria
Robust and specialised knowledge of commercial law and practice as it applies in the healthcare, pharma and life sciences sector
Specialist knowledge of the law and practice in relation to commercial contracting from bids and tendering, procurement, IT, IP, technology, data protection and similar
Knowledge of healthcare, pharma, technology and life sciences sector provisions, structures and policies
Strong track record of structuring and closing major high value deals and transactions
Experience of negotiating and closing major contract reviews and risk assessments
Self-motivated and with the ability to respond effectively to changing priorities, managing a complex workload under pressure, often on an emergency basis with no recourse to external advice.
