Description
Guy’s and St Thomas’ is among the UK’s busiest and most successful NHS foundation trusts. We provide a full range of hospital and community services for people in south London and as well as specialist care for patients from further afield including cancer, renal, orthopaedic, respiratory and cardiovascular services.
Guy’s is home to the largest dental school in Europe and a £160 million Cancer Centre opened in 2016. As part of our commitment to provide care closer to home, in 2017 we also opened a cancer centre and a kidney treatment centre at Queen Mary’s Hospital in Sidcup. St Thomas’ has one of the largest critical care units in the UK and one of the busiest emergency departments in London. It is also home to Evelina London Children’s Hospital.
Evelina London cares for local children in Lambeth and Southwark and provides specialist services across south east England including cardiac, renal and critical care services. We lead a number of specialist service networks aiming to ensure children are treated locally where possible, but have access to specialist expertise when they need it. Our community services include health visiting, school nursing and support for families of children with long-term conditions.
Our adult community services teams deliver care at the heart of the local communities we serve, working in partnership with GPs, local authorities and other healthcare and voluntary sector organisations. Working with our partners in Lambeth and Southwark, we are focusing on new ways of working to improve care for local patients.

The Senior IP & Commercial research Manager will provide direct support to the Head of Commercial Innovation and Commercial Research Development at the Trust and will work as part of the team in relation to all matters relating to Intellectual Property identification, management and commercialisation.
Main duties of the job
The post holder will provide contractual support in the drafting and negotiating of agreements. The post holder will provide business development activity to help capture commercial research collaborations, partnerships and consultancies with the Commercial Sector, University and government sectors and to be able to draft and negotiate contractual transactions for enabling Agreements and will also be responsible for managing the IP and Commercial Research Managers and managing their work flow on a day to day basis.
The role requires expertise in all matters relating to IP to enable the post holder to provide appropriate advice and support to staff within the organisation who have queries regarding the identification, evaluation, protection and exploitation of intellectual property assets and work as part of a team to enable the post holder to provide the necessary level of support to the Head of Commercial Innovation and Commercial Research.
The post holder will represent the Head of Commercial Innovation in relation to work with other NHS bodies locally and nationally, will take the lead on projects, and be responsible for related financial.

The commercial innovation team is part of the newly established Centre for Innovation, Transformation, and Improvement (CITI).
CITI at Guy’s and St Thomas’s was newly founded in 2021 under the Deputy Chief Executive (DCE). The DCE is the Executive Director responsible for leading and implementing the Trust’s strategy for innovation and improvement, which aims to develop an ecosystem that encourages the acceleration of new knowledge and capabilities and learn from best practices globally, to deliver improvements in patient care, research and education at scale. CITI co-locates multi-faceted teams to provide the focal point for clinical innovators and services seeking to translate ideas or early-stage products or improvements into clinical practice. The Centre aims both to incubate and deliver innovations and improvement ideas, projects and programmes, working alongside and for its clinical customers for the benefit of patients.
CITI aims to improve the adoption of new clinical technologies with an agile operational model, delivering a data-driven approach to evaluating performance of novel technologies, creating a sustainable culture of innovation in the clinical and operational workforce, and to build enduring partnerships with academia, industry, investors, our communities and other key Stakeholders. Patients and communities are fundamental to both what we do and how we do it in CITI.
Detailed job description and main responsibilities
Professional / Clinical responsibilities
Responsible for the end to end process in relation to IP and Commercial Research opportunities. These projects will be multiple in number, high financial value, complex in nature and commercially sensitive.
Working as part of a team, or individually, to respond to, initiate and execute commercial opportunities and identify, record and manage intellectual property assets within the Trust (as described below).
To act as delegated representative for the Head of Commercial Innovation for negotiating IP and commercial research agreements and related consultancy and service contracts.
To lead, and identify and connect with external business and funding bodies relevant to the Trust’s IP portfolio and technical or clinical expertise to create opportunities with external parties to generate income or benefit back to the Trust.
To lead on drafting confidentiality agreements and other enabling contracts with external parties, such as consultancy or contract research Agreement in accordance with Trust policies and procedures.
To price contracts and liaise with other members of the Finance Dept.
To analyse and assess IP potential, conduct market analysis and assess financial value of IP assets.
To act on behalf of the Trust to protect its intellectual property and file and register intellectual property at the UK Intellectual Property Office and overseas intellectual Property Offices.
To liaise with Patent Agents and other external professional and legal advisers to determine appropriate protection strategy for individual cases as necessary.
To have freedom to act and provide expertise and be a point of contact for the Trust in relation to IP and Commercial Research issues.
To ensure the IP Policy of the Trust is adhered to by staff and depts. within the Trust and lead on day-to-day matters relating to IP or escalate to Head of IP & Commercial Research as required.
To instruct legal and other professional advisers in support of the Head of Commercial Innovation in regards to contract drafting, where needed.
To lead on preparing and delivering presentations on IP and Commercial Research Awareness Training to the organisation.
To deputise for the Head of Commercial Innovation on all professional and clinical matters as appropriate.
Management and Leadership
To support the Head of Commercial Innovation and work as part of the IP and Commercial Research team.
Responsibility for the management of the IP and Commercial Manager(s) on a day to day basis, including setting tasks, prioritising work flows, appraisal of performance and intervention where necessary to assist the IP & Commercial Research managers in executing their duties.
To support individual members of staff, clinical teams and departments with the development of IP and related technology and commercial research opportunities.
Be responsible for the delivery of a programme of training and education for Trust staff in all matters relating to IP and Commercial Research.
To support and lead staff to gather required information and feedback necessary for the postholder’s drafting and negotiation of enabling Agreements.
To act as an exemplar for the Trust in terms of communication and behaviour during complex and difficult contract negotiations.
To lead on the maintenance, curation and cleaning of the IP and commercial research contract databases, ensuring the databases are up to date and outputs are acted upon (including scheduling of invoicing and project management actions are delivered in accordance with the project milestones in the database), including creation of new databases as/when necessary.
Responsible for performance of the Trust’s patent database and its provider (currently ‘PatBase’).
Financial responsibilities
Responsible for invoicing and financial management of Bright Ideas funded projects in accordance with each project budget (c. £75,000) including approval of contractor invoices and to ensure the projects are delivered in line with a balanced budget within the overall Bright Ideas Fund budget (of £750,000).
Collate and monitor financial and information data relevant to specified work areas.
Tracking contract milestones and payment schedules and raise invoice requests as appropriate, working with the Trust’s credit control functions to ensure income is received before distribution/recharging to internal departments.
To assess milestone achievement and review contract performance alongside staff involved in commercial Agreements.
To ensure that financial discussions in relation to equity and revenue relating to IP and commercial research are conducted in line with the IP Policy, Standing Financial Instructions and governance procedures of the Trust.
To ensure that all revenues from Commercial Research and related contracts and licence revenues from IP development are recorded and managed effectively.
Information management
To ensure that all matters related to IP development, in particular invoices, patent and trade mark filings and legal Agreements are appropriately documented, controlled and managed to protect the legal and financial interests of the Trust.
To lead in all matters relating to information governance on behalf of CITI - working with the Trust’s Information Governance Dept to ensure Commercial Research Agreements are in line with current Trust policies and taking corrective action where required to maintain data protection and confidentiality in respect of the Trust’s personal or sensitive data.
Education & Professional Development
To continually maintain own expertise in all matters relating to:
Market intelligence for Commercial Research opportunities and Technology/Innovation Funding (Public & Private); and
IP Development and Intellectual Property Law;
IT skills in relation to the maintenance and management of Access/SQL databases for the Trust’s IP and Commercial Research information management systems.

Educations/Qualifications
Essential criteria
Masters of Business Administration or BSc in Life Science, Medical or Physical Science related disciplines with significant relevant business experience or equivalent qualification.
Desirable criteria
PhD qualification or Legal qualifications.
Skills
Essential criteria
Ability to be adaptable and to develop innovative commercial offerings.
Ability to identify business opportunities from a range of different and conflicting sources of intelligence.
Knowledge and experience of IP commercialisation or healthcare/biomedical product development.
Experience of providing and receiving complex and sensitive information (including use of Confidentiality Agreements) Contractual drafting and Detailed clause negotiation skills Experience and practical skills for financial negotiations.
Good theoretical and practical knowledge of IP, in particular patents, copyright and trade marks.
Working knowledge of Human Tissue Act, Data Protection Act, Freedom of Information Act.
An ability to plan and organise a broad range of complex activities and programmes.
An ability to understand financial procedures, policies and the Standing Financial Instructions of the Trust for finance element of contracts
Desirable criteria
Knowledge of MHRA regulations for CE Marking and trials of medicines, diagnostics and medical devices.

Experience
Essential criteria
Significant experience of IP protection and commercialisation in a Healthcare or Life Science organisation, whether public, University or private sector.
Experience of business development and a strong understanding of business development methodology.
Significant experience in commercial legal contract negotiation and detailed clause interpretation and negotiation, including Consultancy/Commercial Research and IP related Agreements.
Evidence of successful contract research or consultancy business won, or successful IP licensing or other IP commercialisation.
Experience of IP development at organisational and personal level.
Demonstrable experience in managing staff, training staff/students and class preparation.
Demonstrable experience of financial management duties, including the direct responsibility for management of budgets up to a minimum of £75,000.
handling Material Transfer Agreements/Confidentiality Agreements and working within the frameworks of the Data Protection Act and Freedom of Information Act;
Desirable criteria
Experience in patent. trade mark drafting, filing and administration
